Malaysia Certificate of Incorporation
The process of forming a company in Malaysia includes the issue of a Certificate of Incorporation. Upon completion of the incorporation process and submission of the required incorporation documents, Suruhanjaya Syarikat Malaysia (SSM) will issue the Certificate of Incorporation.
What Sort of Information is Provided in the Certificate?
The certificate contains the following fundamental details, which are also the most essential:
Name of the Company Date of Incorporation
Company No.
A certified registration copy of the Certificate of Incorporation is available and is written in the local language (Malay).
Why Is a Certificate of Incorporation Required for a Company?
The certificate assists in proving the company’s legitimacy. SSM issues a copy (or certified copy) of the Certificate of Incorporation attesting to the legitimate incorporation of a business under the Malaysian Companies Act.
Documents Required For Malaysia Company Incorporation
Malaysia resident shareholder and director:
- Copy of Malaysia IC/Passport
Non-resident shareholder and director:
- Copy of a passport; and
- Copy of residential address proof such as a recent utility bill, residential phone bill, tax bill, cable TV bill or bank statements
If a shareholder is a corporate entity
- Copy of the certificate of registration; and
- Current extract of company data from Registrar of companies; and
- Copy of the constitution of the company; and
- A board resolution approving the incorporation of the Malaysian company and the proposed shareholding.
